Mamaology® Constitution and Bylaws 

CONSTITUTION

ARTICLE I  – NAME

  • Section 1.       The name of the organization shall be “MAMAOLOGY®

ARTICLE II – MISSION

  • Section 1.       The mission of the MAMAOLOGY® organization shall be to educate, inform, and provide resources for local parents and parents-to-be.

ARTICLE III – CORE VALUES

  • Section 1.       Uphold the values of informed decisions by providing information and resources about responsibility and choices in pregnancy, childbirth, and parenting and to advocate decisions and actions that promote the health and well-being of all those involved.

ARTICLE IV – MEMBERSHIP

  • Section 1.       The members of the MAMAOLOGY® organization shall consist of an Advisory Panel, Associate Members, and Founding Members. (See Bylaws, Article I, Section 1). 

ARTICLE V   – ADVISORY PANEL  

  • Section 1.       The MAMAOLOGY® Advisory Panel shall consist of three (3) elected directors and a maximum of six (6) appointed advisors, appointed by the Executive Director, for a minimum of three (3) and no more than nine (9) total advisors.  They transact the general business of the MAMAOLOGY® organization. (See Bylaws, Article II, Section I).

ARTICLE VI – MEETINGS  

  • Section 1.       Electronic communication shall be utilized to conduct business.  Special meetings, with a two-thirds (2/3) vote of the Advisory Panel, may be called as needed.

ARTICLE VII – QUORUM  

  • Section 1.       A majority of the Advisory Panel shall constitute a quorum at any meeting.

 

  • Section 2.       Motions shall be presented, seconded, and opened for discussion prior to voting.  At the end of the discussion period, the presiding member shall then start the voting period by submitting the motion to a vote by the members.  

ARTICLE VIII – AMENDMENTS  

  • Section 1.       The Constitution & Bylaws will be revisited at the end of each year to ensure the MAMAOLOGY® mission is effectively continued and may be amended by a two-thirds (2/3) vote of the advisors present at that time.
 
BYLAWS

ARTICLE I – MEMBERSHIP  

  • Section 1.       Classes of Membership.  Only those who comply with MAMAOLOGY® requirements shall be admitted into membership of the MAMAOLOGY® organization. The classes of membership shall be as follows:
  • (a)    Associate Membership – These are members who uphold the purpose and values of the MAMAOLOGY® organization and complete the MAMAOLOGY® registration form. They are provided access to the MAMAOLOGY® online community, may participate and volunteer for MAMAOLOGY® events, and are eligible for a position on the Advisory Panel.
  • (b)   Founding Members – The Founding Members of the MAMAOLOGY® organization are defined as the original eight (8) women that created the organization. They are as follows: Crysta Bourdon, Amy Elliott, Shayla Goldenberg, Christine Marasco, Trisha Miller, Holly Poulson, Anne Reed, and Tina Tindall. They maintain the integrity of the MAMAOLOGY® organization and are eligible for a position on the Advisory Panel. 

 

  • Section 2.       Changes in Membership
  • (a)    The Advisory Panel retains the right to refuse any registration for membership and remove any member who is not upholding the MAMAOLOGY®  core values.
  • (b)   Resignations and applications for change in membership must be submitted in writing to info@mamaology.com.
  • (c)    In the event a member has resigned and desires reinstatement, they may do so by re-submitting the MAMAOLOGY® registration form.

ARTICLE II – ADVISORY PANEL  

  • Section 1.       The MAMAOLOGY® Advisory Panel shall consist of three (3) elected directors and a maximum of six (6) an appointed advisors, appointed by the elected directors, for a minimum of three (3) and no more than nine (9) total advisors.  They transact the general business of the MAMAOLOGY® organization.

 

  • Section 2.       The elected directors of the MAMAOLOGY® Advisory Panel shall be as follows:
  • (a)    Executive Director
  • (b)   Administrator
  • (c)    Publicist

 

  • Section 3.       Duties of the Directors
  • (a)    The Executive Director shall:
  1. Oversee the direction of the MAMAOLOGY® organization.
  2. Call special meetings when necessary.
  3. Preside over meetings of the Advisory Panel.
  4. Be authorized to sign all legal instruments on behalf of the MAMAOLOGY® organization.
  • (b)   The Administrator shall:
  1. Record detailed minutes of the Advisory Panel meetings and distribute.
  2. Be the custodian of all monies and balances, keeping full and accurate accounts.
  3. Pay all bills, vouchers, and accounts.
  4. Maintain all records of the MAMAOLOGY® organization and transfer records to the succeeding Administrator.
  • (c)    The Publicist shall:
  1. Advertise all upcoming events where necessary.
  2. Be responsible for maintaining the website and any internet related communities.
  3. Be responsible for assuring continuity of the presentation of the MAMAOLOGY® image.
  • Section 4.       The remaining six (6) advisors, if present, shall assist with business transactions and outreach programs.

ARTICLE III - ELECTIONS  

  • Section 1.       An individual must be an associate member of the MAMAOLOGY® organization to be eligible for Advisory Panel candidacy.

 

  • Section 2.       The three (3) elected directors shall be elected in November and shall assume the duties of their office the following January.

 

  • Section 3.       The elected advisors shall serve for a term of one (1) year and no more than two (2) consecutive terms in the same position.  Individuals will not be eligible for re-election for one (1) year following their second consecutive term.

 

  • Section 4.       The remaining six (6) advisor positions may be appointed, by the Executive Director, at any time.  The appointed advisors shall serve for a term of one (1) year and may be reappointed as an advisor indefinitely.

 

  • Section 5.       Vacancy in an office shall be filled for the unexpired term by the MAMAOLOGY® Advisory Panel voting by ballot.

ARTICLE IV – COMMITTEES  

  • Section 1.       Committees will be developed as needed, and the Executive Director will appoint the chair of each committee.  The chair of any committee shall serve for the term of the committee or as determined by the Executive Director.  Advisory approval by a two-thirds (2/3) vote will be required for any expenditure.
